1. Introduction
Before using the Solvedio application or any websites (collectively or individually the “Service”) operated by Solvedio, J.S.A., ID: 53 910 389, registered in the Commercial Register of Bratislava III District Court, section Sja, file No. 187/B (“we”, “us” or “our”), please carefully read these Terms of Use (“Terms”).
Access to and use of the Service is conditional upon your agreement with and compliance with these Terms. These Terms apply to all customers and users.
By using the Service, you agree to comply with these Terms. If you disagree with any part of these Terms, you are not authorized to access the Service.

2. Privacy and DPA
Privacy
Processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.
By using the Service, you acknowledge and agree that your personal data will be processed in accordance with this policy.
Processing on behalf of Customer (DPA)
If you use the Service on behalf of an organization (“Customer”), the Customer is the data controller and Solvedio, J.S.A. is the data processor under GDPR.
In this case, data processing is governed by the Data Processing Agreement (DPA), which is part of these Terms. By activating an organizational account or inviting users, the Customer accepts the DPA.

4. Communications
We may send you operational and service notifications (e.g. security information, service changes) in connection with your account.
Marketing or promotional messages will only be sent based on your consent, which you may withdraw at any time via the unsubscribe link in emails or in your account settings.
5. Content
Our Service allows you to post, link, store, share and otherwise make available certain information, texts, graphics, videos or other materials (“Content”). You are responsible for Content you post or make available through the Service, including its legality, reliability and appropriateness.
You grant us a non-exclusive, worldwide, royalty-free and transferable license to host, store, display and back up Content to the extent necessary for operating the Service.
We may remove or block Content that violates these Terms or legal regulations, including without prior notice.
6. Lawful Use of the Service
You agree not to use the Service in a manner that:
- violates laws or the rights of third parties (including intellectual property or personal data protection),
- involves malicious code, intrusion attempts or circumventing security measures,
- leads to spamming, excessive load or automated access (scraping).
In case of violation, we reserve the right to suspend or terminate access to the Service.
7. Accounts
When creating an account, you warrant that you are 18 years or older, have a legal relationship with the Customer, and the information provided is accurate and current. Inaccurate or incomplete information may lead to immediate termination of your account.
You are responsible for maintaining the confidentiality of login credentials and all activities performed through your account.
You may not share access with other persons.
If the Service permits, you may only invite persons from your organization, unless expressly agreed otherwise.
8. Intellectual Property
The Service, its original content (excluding user-provided content), features and functionality remain the exclusive property of Solvedio, J.S.A. and its licensors. Our trademarks and visual identity may not be used without prior written consent.
9. License Types and Account Validity
These provisions apply to all products and services built on the Solvedio platform, including Daily Controls.
Free License (Free Plan)
The free version allows use of the Service with a limited number of users and features. Solvedio may modify or terminate free access at any time, particularly in case of inactivity or violation of these Terms.
Solvedio reserves the right to deactivate a free account after 12 months of inactivity, notifying the user by email before data removal.
Paid and Enterprise Licenses
Terms of paid and enterprise licenses are governed by these Terms, unless a separate agreement between the Customer and Solvedio, J.S.A. is concluded.
In case of conflict between these Terms and an individual agreement, the individual agreement takes precedence.
10. Third-Party Links
Our Service may contain links to third-party websites that we do not operate. We are not responsible for their content, privacy policies or practices.
11. Termination
We may immediately terminate or suspend your account without prior notice if you violate these Terms.
After termination, we will allow you a reasonable period (e.g. 30 days) to export your data. Data will then be deleted in accordance with the Privacy Policy.
Users may request account deletion and associated personal data removal at any time via help@solvedio.com.
12. Indemnification
You agree to indemnify and hold harmless Solvedio, J.S.A., its employees and partners against any claims or losses arising from your violation of these Terms or from Content you upload.
You are also responsible for the actions of users you have invited to your organization or who use the Service under your authorization.
13. Disclaimer of Warranties
The Service is provided “as is” and “as available”, without any express or implied warranty.
We do not guarantee uninterrupted availability, error-free operation or suitability for a specific purpose.
14. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental or consequential damages arising from use of the Service.
These limitations shall not apply where prohibited by mandatory law or in case of intentional breach.
Our liability for direct damages is limited to the amount of the annual license fee paid by the Customer, unless agreed otherwise in the contract.
15. Severability, Waiver and Assignment
If any provision of these Terms is found to be invalid, the remaining provisions remain in effect.
Failure to exercise a right on our part does not constitute a waiver of that right.
We may assign these Terms (e.g. in case of merger or sale of business) without your prior consent.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the Slovak Republic and the European Union.
All disputes shall be resolved by the competent courts of the Slovak Republic located in Bratislava.
17. Modifications
We will inform you of material changes at least 30 days in advance by email or in-app notification.
Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
18. Force Majeure
We shall not be liable for failure to perform obligations caused by circumstances beyond our reasonable control (e.g. third-party outages, natural disasters, war, state of emergency).
19. Export and Sanctions Regulations
You may not use the Service in a manner that would violate EU or other jurisdictions’ export, trade or sanctions regulations.
Use of AI-based features or cloud services outside the EU may be subject to international restrictions, and users are required to comply with applicable EU and US regulations.
